1、 第 1 页 共 19 页 我国上市公司独立董事的作用研究 摘 要：独立董事制度作为完善公司治理结构、制衡内部董事和经营管理者的有效 措施，在世界上得到广泛认同和采纳。近年来，学者围绕我国上市公司独立董事制 度进行了众多研究。大多数学者认为，独立董事对我国上市公司治理起到了一定积 极作用，但仍然存在着诸多的问题，影响着其作用的发挥。本文联系国内外实际， 分几部分阐述如何完善我国上市公司独立董事制度，以使其更好地发挥作用。从独 立董事的含义、特点、职责，起源等概况出发，阐述了其在我国的现状及作用，进 一步分析得出独立董事不独立、不“懂事” 、缺乏必要的激励和约束等问题，最后 文章还提出完善公司股
