1、 I 我国企业在跨国并购中存在的问题及对策我国企业在跨国并购中存在的问题及对策 分析分析 摘要 随着全球经济一体化的推进和我国经济的大力发展，我国企业依靠自身优 势，走出国门，实施积极的跨国并购战略。跨国并购已经成为中国企业对外投资 的主要方式。 近年来，中国企业海外并购的数量日渐增长，规模日渐扩大。我国企业在实 践“走出去”战略的过程中，大胆尝试跨国并购，颇有收获。然而由于中国企业 缺乏跨国并购与经营的经验，在投资战略、目标企业的选择与评估、并购后整合 等方面都存在一些问题， 以致大部分的并购并不能取得预期的效果甚至是以失败 告终。 本文就我国企业跨国并购的现状及其在跨国并购中所面临的问题进
2、行了简 析，如我国企业在跨国并购面临的诸如政治环境、法律环境、经济环境，企业自 身能力的欠缺、并购准备工作不足、战略规划不足、整合不力等问题。进而对我 国政府和企业自身应从加强政府公关、拓展融资渠道及简化审批手续、加快建设 中介服务体系、培育有竞争力的并购主体、并购的战略规划、提高企业的管理能 力、 做好法律准备、 加强人才培养、 等方面着手找出解决问题的对策进行了浅析。 【关键词】我国企业；跨国并购；存在的问题；对策 II Abstract With the advance of global economic integration and development, Chinas comp

Transnational merger and acquisition has become the main way of overseas investment for Chinas enterprises. In recent years, transnational mergers and acquisitions for Chinese compa
4、nies grow larger in number and scope. In the process of taking “going out“ strategy, Chinas enterprises have a bold attempt to transnational mergers and acquisitions, and also won the rewarding. However, lack of experience in transnational merger and acquisition, management, Chinese enterprises have
5、 problems in investment strategy, target companies selection and evaluation, integration after the merger and acquisition such areas , that make most of the mergers and acquisitions couldnt get the desired effect and even end in failure. This article analysis the status of Chinas enterprises and the

Such as political environment, legal environment, economic environment, and the enterprises lack of ability, inadequate preparation, lack of strategic planning, poor integration, and so on. And then our government and the enterprises should strengthen the governments own public relations, to expand financing channel and to simplify the approval procedures, accelerate the construction of intermediary service
